1. APPOINTMENT & LIMITED POWER OF ATTORNEY
Carrier hereby appoints Shipping Wish LLC ("Dispatcher") as its authorized agent to contact brokers and shippers, secure freight tenders, negotiate spot rates, execute rate confirmations in Carrier's name, and process check calls. Dispatcher does not purchase or broker freight.
2. CARRIER SETTLEMENT & PAYMENT
Carrier bills and collects 100% of freight charges directly from brokers or shippers (or through Carrier's factoring provider). Shipping Wish LLC receives compensation strictly via agreed flat weekly operations management subscription or dispatch service fee as agreed.
3. SAFETY & FMCSA COMPLIANCE
Carrier warrants that it maintains active FMCSA operating authority and required liability and cargo insurance at all times. Carrier drivers retain sole discretion over safe driving hours and vehicle safety.
4. TERM & TERMINATION
This agreement may be cancelled by either party with written notice at any time without long-term penalty.
