LoadsNexus™ Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Carrier," "Broker," or "Subscriber") and Shipping Wish LLC doing business as LoadsNexus™ ("LoadsNexus," "Company," "we," "us," or "our").

By accessing or using our websites (loadsnexus.com), mobile applications, APIs, or subscribing to our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Nature of the Service

LoadsNexus is a digital freight marketplace, AI load matching engine, and broker telemetry exchange. We connect licensed motor carriers and owner-operators with licensed freight brokers, shippers, and 3PL intermediaries.

LoadsNexus is a technology communications platform; unless explicitly executing freight dispatch under a separate written Shipping Wish operations agreement, LoadsNexus itself does not take custody of freight, act as a motor carrier, or assume common carrier liability for cargo.

2. User Eligibility & Operating Authority

By creating an account or posting loads, you represent and warrant that:

• You represent a legitimately registered business enterprise in good standing.
• Motor Carriers: You hold active, valid operating authority (MC or USDOT number) issued by the FMCSA, maintain active auto liability insurance (minimum $750,000 to $1,000,000) and cargo insurance (minimum $100,000), and comply with all federal and state motor vehicle safety standards.
• Freight Brokers: You hold active FMCSA freight broker authority, maintain an active $75,000 BMC-84 surety bond or BMC-85 trust agreement, and conduct business in good faith.

3. Subscription Plans, Billing & Payment Terms

LoadsNexus offers transparent subscription tiers for motor carriers and free postings for freight brokers. All billing transactions are securely handled by our authorized payment processor, Stripe, Inc.

3.1 Automatic Renewal

Paid subscriptions renew automatically at the end of each monthly billing cycle unless canceled prior to the renewal date. By providing payment information to Stripe, you authorize LoadsNexus to charge the applicable subscription fee to your designated payment method.

3.2 Cancellation Policy

You have the right to cancel your subscription at any time without penalty or cancellation fees. You may cancel:

• Directly through your online billing portal under "Account Settings" → "Manage Subscription"; or
• By sending an email with your account email address and company name to support@loadsnexus.com; or
• By calling our customer support line at +1 (800) 580-3101.

Upon cancellation, you will continue to have full access to your subscription benefits until the end of your current prepaid billing period.

3.3 7-Day Money-Back Guarantee & Refund Policy

We stand behind the quality of our freight network. First-time subscribers to the LoadsNexus Carrier Pass are entitled to an unconditional 7-Day Money-Back Guarantee.

If for any reason you are not satisfied with LoadsNexus within the first 7 days following your initial payment, simply submit a refund request to support@loadsnexus.com. Our billing team will process a full 100% refund back to your original payment method via Stripe. After the 7-day initial window, subscription fees are non-refundable for partial months, but no further renewal charges will occur once canceled.

4. Zero-Tolerance Anti-Double-Brokering Guard

LoadsNexus maintains an aggressive, zero-tolerance policy against fraudulent freight practices, including unauthorized re-brokering (double-brokering), identity theft, cargo theft, and fake load postings:

• Carriers and brokers agree that all freight booked through LoadsNexus will be transported solely by the authorized motor carrier named on the Rate Confirmation.
• Users may not re-post or re-broker freight without the explicit written authorization of the originating broker or shipper.
• Any user found attempting double-brokering, falsifying rate confirmations, or impersonating another company’s MC/DOT authority will be immediately and permanently banned. We reserve the right to report violators to the FMCSA National Consumer Complaint Database, TIA Watchdog, and federal law enforcement authorities.

5. Carrier Rate Confirmations & Independent Contracts

When a carrier books a load with a broker through LoadsNexus, the contractual relationship for the freight haul is strictly between the carrier and the broker. Both parties are bound by the terms specified on the signed Rate Confirmation, Bill of Lading (BOL), and broker-carrier agreement.

6. Intellectual Property & Trademarks

LoadsNexus™, the LoadsNexus logo, and all related branding, proprietary AI matching algorithms, telemetry software, and web assets are the exclusive intellectual property of Shipping Wish LLC. Users may not copy, reverse engineer, scrape, or distribute our proprietary platform code or database listings.

7. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. While LoadsNexus verifies broker credit telemetry, surety bond records, and carrier safety ratings, we do not guarantee the solvency of any broker, the timely payment of freight invoices, or the mechanical reliability of any carrier equipment.

8. Limitation of Liability

To the fullest extent permitted by applicable law, neither Shipping Wish LLC nor its officers, directors, employees, or affiliates shall be liable for indirect, incidental, punitive, special, or consequential damages arising from the use of the platform, freight delays, carrier mechanical breakdowns, or broker payment disputes. In no event shall our total aggregate liability exceed the total amount paid by you to LoadsNexus in the three (3) months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Shipping Wish LLC, its officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorney’s fees) arising out of your breach of these Terms, your freight operations, or violation of DOT/FMCSA regulations.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the federal or state courts located in Delaware, USA.
